Qualified Company Secretary
Experience:
Minimum 3 years of relevant experience
-Sound knowledge of the Companies Act, 2013 and other applicable corporate laws.
-Hands-on experience in legal drafting with strong verbal and written communication skills.
-Ability to draft, review, and negotiate contracts including:
MOUs, NDAs
-Service Agreements
-HR-related contracts
-Vendor and service provider contracts
-Lease Deeds and Leave & License Agreements
-Procurement Contracts
-Job-work and Manpower Agreements
-Experience in drafting legal documents and responding to legal notices.
-Handle incorporation of new companies and Limited Liability Partnerships (LLPs), ensuring compliance with all legal and procedural requirements.
-Ensure full compliance with the Companies Act, 2013 and other relevant corporate laws.
-Maintain statutory registers, records, and filings as mandated under applicable laws.
-Draft notices, agendas, and minutes for Board Meetings, AGMs, and EGMs.
-Maintain attendance registers and ensure proper documentation and compliance with meeting procedures.
-Provide secretarial support to Group entities.
-Manage annual filings and routine ROC compliances, ensuring timely submission of forms.
-Draft, review, and negotiate a wide range of legal and commercial contracts.
-Respond to legal notices and manage related legal communications.
-Handle ad-hoc responsibilities related to corporate structuring, governance, and urgent legal or compliance matters.
